This Hedrick Arms & Manufacturering Authorized Wholesaler’s Policy for the United States (“ Wholesaler’s Policy”) is issued by Hedrick Arms & Condition 1 and applies to Authorized Resellers of Hedrick Arms & Manufacturering products and its subsidiaries, licensed products (“Product(s)”) in the United States of America. By purchasing Products from Hedrick Arms and/or Hedrick Arms Authorized Distributors of the Products for resale to End Users (as defined below), you (“Wholesaler’s ”) agree to adhere to the following terms. Until such status is otherwise revoked at Hedrick Arms & Manufacturering sole and absolute discretion, Dealer shall be considered an “Authorized Dealer.” This Dealer Policy supplements any then-current Dealer agreement between you and Hedrick Arms and supersedes any Retailer Distributor Agreement you may have with Hedrick Arms. Hedrick Arms & manufacturing may review Reseller’s/Dealer activities for compliance with this Reseller/Dealers and wholesalers Policy, and Reseller agrees to cooperate with any such investigation, including, but not limited to, permitting inspection of Reseller’s/Dealer’s facilities and records related to the sale of the Products.

1. Authorized Customers. Dealer’s are authorized to sell Products only to End Users in the United States of America. An “End User” is any purchaser of the Products who is the ultimate user of the Products and who does not intend to resell the Products to any third party. Resellers shall not sell or transfer Products to any person or entity Reseller knows or has reason to know intends to resell the Products. Reseller shall not sell, ship, or promote the Products outside the United States of America without Hedrick Arms prior written consent.

2. The terms of this Wholesaler’s Policy supersede any prior agreement between Hedrick Arms and Dealer’s regarding the sale of the Products online. Any authorization previously granted to Reseller by Hedrick Arms to sell the AR -15 -AR 10 style Rifle(s) in Illinois on or through a website, mobile application, or other online forum is revoked until Illinois gun laws changes. FFL’s must have written consent From Mr. Bryant C. Hedrick Sr.

3. Sales Practices. Dealer’s Wholesaler”s shall conduct its business in a reasonable and ethical manner at all times and shall not engage in any deceptive, misleading, or unethical practices or advertising at any time. Reseller,Wholesaler’s and Dealer’s shall not make any warranties or representations concerning the Products except as expressly authorized by Hedrick Arms & Manufacturering . Reseller shall comply with all applicable laws, rules, regulations, and policies (a) applicable to Reseller’s business and/or (b) related to the marketing and sale of the Products. Reseller shall represent the Products in a professional manner and refrain from any conduct that is or could be detrimental to the reputation of Hedrick Arms & Manufacturering of the Products. Reseller shall not advertise Products not carried in inventory.

4. Product Care, Customer Service, and Other Quality Controls. Reseller shall comply with the Hedrick Arms & Manufacturering Customer Care, Customer Service, and Other Quality Controls, attached in Exhibit A .Hedrick Arms may amend from time to time.
